1. About SWITCH Stack

SWITCH Stack is a coaching business platform provided by Lorraine Hamilton Inc. ("we", "us", "our"), a New Zealand-based business. SWITCH Stack is built on GoHighLevel infrastructure and is offered as a monthly subscription service at switchstack.net.

By signing up for SWITCH Stack, you ("you", "your", "Subscriber") agree to these Terms and Conditions in full. Please read them before completing your registration.

2. Subscription and Billing

SWITCH Stack is offered as a monthly subscription at USD $97 per month (or such other price as may be notified to you at the time of sign-up).

Your subscription begins on the date your payment is processed and renews automatically each calendar month unless you cancel.

Billing is managed through our payment processor. You authorise us to charge your nominated payment method on your monthly renewal date.

We reserve the right to update our pricing. If we do, we will give you at least 30 days' notice before any price change takes effect. Continued use after the effective date constitutes acceptance of the new price.

3. Cancellation

You may cancel your subscription at any time by contacting us at lorraine@lorrainehamilton.net or through the account portal. Cancellation takes effect at the end of your current billing period.

We do not offer refunds for partial months or unused subscription periods, except as required by applicable law.

On cancellation, your access to SWITCH Stack will remain active until the end of your paid billing period, after which it will be deactivated.

4. What Is Included

Your SWITCH Stack subscription gives you access to an all-in-one CRM and course platform designed for coaching businesses. Features available at any given time are described at switchstack.net and may be updated as the platform evolves.

We reserve the right to add, modify, or remove features. Where a change would materially reduce the service, we will provide reasonable notice.

5. Your Responsibilities

By subscribing, you confirm that:

  • You are at least 18 years of age.
  • The information you provide at sign-up is accurate and current.
  • You will use SWITCH Stack for lawful coaching business purposes only.
  • You will not use the platform to send unsolicited messages (spam), engage in misleading marketing, or violate the privacy of any third party.
  • You are responsible for maintaining the security of your login credentials.

6. Client Data and Privacy

You may use SWITCH Stack to store and manage contact information and data relating to your own clients ("Your Data"). You retain ownership of Your Data at all times.

We access Your Data only as necessary to provide the service, maintain the platform, and comply with legal obligations. We do not sell Your Data to third parties.

SWITCH Stack is built on GoHighLevel infrastructure. By using the platform, you acknowledge that GoHighLevel's own privacy and data processing terms also apply to how your data is handled at the infrastructure level. GoHighLevel's terms are available at gohighlevel.com.

You are responsible for ensuring your own use of client data complies with applicable privacy laws, including (where relevant) the New Zealand Privacy Act 2020, the Australian Privacy Act 1988, and GDPR.

7. Account and Client Transfer

7a. If you sell or exit your coaching business

SWITCH Stack is designed to be a business asset. If you sell, transfer, or wind down your coaching practice, your client data and account content can be transferred to a successor coach or agency, subject to the following:

  • You must notify us in writing of any proposed transfer.
  • The incoming party must agree to these Terms and Conditions before access is granted.
  • We reserve the right to approve or decline a transfer request at our reasonable discretion.

Where a transfer is approved, your subscribers will be notified before the transition takes effect. They will have the opportunity to continue with the new provider or to request deletion of their data.

Your client relationships are a business asset that can travel with a sale or transition. We want to support that rather than complicate it.

7b. If Lorraine Hamilton Inc. exits the business

In the event that Lorraine Hamilton Inc. winds down, sells, or transfers the SWITCH Stack platform to another agency or operator, we will:

  • Give you at least 30 days' written notice before any such transition.
  • Clearly identify the incoming agency and provide their contact details.
  • Give you the option to continue your subscription with the new operator, or to cancel and export your data before the transition date.

We will never transfer your account or your client data to a third party without notifying you first and giving you a genuine choice.

7c. Your right to take your data with you

If you choose to cancel your SWITCH Stack subscription and move to a different platform, your data is yours to take. You may export your contacts, content, and account data at any time during your subscription using the platform's built-in export tools.

We do not charge for data exports and will not create barriers to you leaving. On cancellation, your data will be retained for 30 days to allow for export, after which it will be deleted from our systems unless legal obligations require otherwise.

8. Intellectual Property

Any templates, workflows, training content, or resources we provide within SWITCH Stack remain the intellectual property of Lorraine Hamilton Inc. You may use them within the platform for your own coaching business but may not redistribute, resell, or sublicense them.

Content you create within the platform (funnels, email sequences, courses, etc.) belongs to you.

9. Limitation of Liability

We provide SWITCH Stack as-is and make no guarantees about specific business outcomes or results from using the platform.

To the maximum extent permitted by law, our liability to you in connection with your subscription is limited to the amount you paid in the 12 months preceding any claim.

We are not liable for any indirect, incidental, or consequential loss, including loss of clients, loss of revenue, or data loss resulting from your use (or inability to use) the platform.

Nothing in these Terms limits liability that cannot be excluded under New Zealand consumer law or other applicable legislation.

10. Termination by Us

We reserve the right to suspend or terminate your account if:

  • You breach these Terms and do not remedy the breach within 14 days of notice.
  • Your payment fails and is not resolved within 7 days.
  • Your use of the platform creates legal or reputational risk for us or other subscribers.

In the event of termination, you will receive reasonable advance notice (except in cases of serious breach) and an opportunity to export your data.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any dispute arising from your subscription will be subject to the exclusive jurisdiction of the New Zealand courts.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before they take effect. Continued use of SWITCH Stack after the effective date constitutes your acceptance of the updated Terms.

The current version of these Terms will always be available at switchstack.net/terms.
